These Terms of Service ("Terms") are a binding contract between Coast Labs LLC, a limited liability company organized in the State of Wyoming, operating the website https://coastlabs.ai under the brand name "COAST LABS" ("we", "us", or "our"), and you, the visitor or customer ("you"). By accessing the site or placing an order, you agree to these Terms. If you do not agree, do not use the site.
These Terms incorporate by reference our Privacy Policy, Research Use Only Disclaimer, Shipping Policy, and Returns Policy.
1. Eligibility
You represent and warrant that:
a. You are at least twenty-one (21) years of age. b. You have the legal capacity to enter into a binding contract in your jurisdiction. c. You are a qualified researcher, a research student working under qualified supervision, or you are purchasing on behalf of a research organization. d. You will not use any product purchased on this site for human or animal consumption or for any non-research purpose. e. You are not on any U.S. or state-level denied-party, sanctions, or restricted-persons list.
Submitting false eligibility information is a material breach of these Terms.
2. Research Use Only
All products sold on this site are Research Use Only (RUO) chemicals intended exclusively for in-vitro laboratory research. They are not drugs, dietary supplements, foods, cosmetics, or medical devices, and have not been approved by the FDA, USDA, DEA, or any other regulatory body for human or animal use. By placing an order, you accept the full terms of our Research Use Only Disclaimer.
3. No Medical Advice; No Therapeutic Claims
Nothing on this site — including product names, descriptions, citations to published research, third-party Certificates of Analysis, blog or journal posts, email marketing, social media content, or customer service correspondence — constitutes medical, pharmaceutical, nutritional, diagnostic, or therapeutic advice. Where we reference published research, that reference is for informational and research purposes only. We make no representation that any product will produce any specific result, benefit, or effect. Always consult a licensed physician before making any health decision.
4. Account Registration
COAST LABS offers guest checkout. To place an order you provide a valid email address and complete the required 21+ / Research-Use-Only acknowledgment; creating an account is optional. You agree to provide accurate, current, and complete information and to keep it updated. If you do create an account, you are responsible for all activity under it and for safeguarding your credentials — notify us immediately at support@coastlabs.ai of any unauthorized use.
5. Orders, Pricing, and Acceptance
a. Offer and acceptance. Submitting an order is an offer to purchase. Your order is accepted when we ship the product or, if earlier, when we send an order-acceptance email. We may decline, cancel, or limit any order at our sole discretion, including for suspected fraud, suspected diversion, processor flag, address verification failure, denied-party screening hit, or shipment to a restricted jurisdiction. b. Pricing. All prices are in U.S. dollars and do not include applicable taxes, duties, or shipping. We may correct pricing errors, including after an order is placed, and refund or cancel any order priced in error. c. Payment. You authorize us and our payment processor to charge the payment method you provide for the full order amount, including any applicable taxes and shipping. You represent that you are the authorized cardholder. d. Currency conversion and bank fees. Conversion charges or foreign-transaction fees imposed by your card issuer are your responsibility.
6. Shipping and Risk of Loss
Shipping terms are set out in our Shipping Policy. Title and risk of loss transfer to you upon delivery of the package to the carrier (F.O.B. origin). We are not responsible for carrier delays, lost packages once tendered to the carrier, or incorrect shipping addresses you provide.
7. Returns and Refunds
All sales are final. Due to the laboratory-research nature of our products, we cannot accept returns or exchanges of any product once shipped. The full returns policy, including the limited exceptions for shipping damage or order errors caused by us, is set out in our Returns Policy.
8. Restricted Jurisdictions and Export
We ship only within the United States (all 50 states) and do not ship to any U.S. state or territory restricted by applicable law or by our payment processor; the current restricted list is maintained by COAST LABS and enforced automatically at checkout. We do not ship internationally. You may not export, re-export, or arrange the export of any product purchased on this site without complying with all applicable U.S. and foreign export-control laws.
9. Intellectual Property
All content on this site — including text, graphics, logos, icons, images, product descriptions, photographs, video, audio, and software — is the property of COAST LABS or its licensors and is protected by U.S. and international copyright, trademark, and trade-dress laws. You may not copy, reproduce, distribute, modify, sell, or create derivative works from any content on this site without our prior written consent. You receive a limited, revocable, non-exclusive, non-transferable license to view the content for your personal, non-commercial use only.
The names "COAST LABS", the site logo, and any associated product names are trademarks of COAST LABS. All other trademarks referenced on the site are the property of their respective owners.
10. User Content
If you submit reviews, comments, photographs, COA images, or any other content to the site or to us through any channel ("User Content"), you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display that User Content in any medium. You represent that you own or have all necessary rights to the User Content you submit, and that it does not infringe any third-party right, violate any law, or contain medical advice, dosage guidance, or claims of human consumption. We may remove any User Content at our sole discretion and without notice.
11. Prohibited Conduct
You agree not to:
a. Use the site for any unlawful purpose or in violation of these Terms. b. Resell, repackage, relabel, or redistribute any product in a manner that obscures the RUO classification or implies human or animal use. c. Make false age, eligibility, payment, or shipping representations. d. Attempt to access any non-public portion of the site, our infrastructure, or any other user's account. e. Use any automated means (bot, scraper, crawler) to access the site, other than well-behaved search-engine crawlers respecting robots.txt. f. Reverse-engineer, decompile, or disassemble any portion of the site or its software. g. Submit any review, comment, or User Content that describes human or animal consumption, dosing, or therapeutic effect.
Violation of this Section 11 may result in immediate account termination, order cancellation, and where authorized by law, civil recovery.
12. Disclaimer of Warranties
THE SITE AND ALL PRODUCTS AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR ACCURACY. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:
a. Any product is fit for any specific research purpose, application, or experimental design; b. Any product will achieve any particular result, yield, or biological effect; c. The Certificates of Analysis ("COAs") provided are accurate beyond the methodology and limits stated on the COA itself by the issuing third-party laboratory; d. The site will be uninterrupted, secure, or error-free, or that defects will be corrected; e. The site or any content is free of viruses or other harmful components.
Some jurisdictions do not allow the exclusion of certain warranties. To the extent any warranty cannot be disclaimed under applicable law, the duration of any such warranty is limited to ninety (90) days from the date of delivery.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
a. IN NO EVENT WILL COAST LABS, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, ANY PRODUCT, OR YOUR USE OR INABILITY TO USE THE SITE OR ANY PRODUCT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
b. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR ANY PRODUCT — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY — WILL NOT EXCEED THE GREATER OF (i) ONE HUNDRED U.S. DOLLARS ($100), OR (ii) THE TOTAL AMOUNT YOU PAID TO US FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
c. WE ARE NOT LIABLE FOR ANY HARM ARISING FROM USE OF A PRODUCT IN A MANNER INCONSISTENT WITH ITS RUO CLASSIFICATION, INCLUDING ANY HUMAN OR ANIMAL CONSUMPTION, INGESTION, INJECTION, OR APPLICATION.
Some jurisdictions do not allow certain limitations of liability. To the extent any limitation is unenforceable, our liability is limited to the smallest amount permitted by applicable law.
14. Indemnification
You will defend, indemnify, and hold harmless COAST LABS, its members, officers, employees, contractors, agents, and suppliers from and against any claim, demand, action, loss, damage, liability, cost, or expense — including reasonable attorneys' fees — arising out of or related to (a) your breach of these Terms, (b) your use or misuse of the site or any product, (c) your violation of any law or third-party right, (d) any human or animal consumption of any product purchased from us, or (e) any false representation of age, eligibility, or shipping destination.
15. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16. Dispute Resolution — Binding Arbitration; Class-Action Waiver
Please read this Section carefully. It affects your legal rights.
a. Informal resolution first. Before initiating arbitration, you agree to first contact us at support@coastlabs.ai and attempt in good faith to resolve any dispute informally for at least sixty (60) days.
b. Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, the site, or any product that cannot be resolved informally will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures (or the Comprehensive Rules for claims over $250,000), as in effect at the time the arbitration is commenced. The seat of arbitration is Sheridan, Wyoming. The arbitrator's award will be final and binding and may be entered in any court of competent jurisdiction.
c. Class-action waiver. You and we agree that any arbitration or claim will be conducted only on an individual basis and not as a class, collective, mass, consolidated, or representative action. The arbitrator may not consolidate the claims of multiple parties or preside over any form of representative or class proceeding. If a court determines this class-action waiver is unenforceable as to a particular claim, that claim (and only that claim) will be severed and brought in a court of competent jurisdiction, while the remainder of the arbitration provision continues in effect.
d. Small-claims carve-out. Either party may bring an individual action in small-claims court located in Sheridan County, Wyoming, for any claim within that court's jurisdiction, in lieu of arbitration.
e. Injunctive relief carve-out. Either party may seek injunctive relief in a court of competent jurisdiction in Wyoming to protect intellectual-property rights pending the outcome of arbitration.
f. 30-day right to opt out. You may opt out of the arbitration and class-action waiver provisions of this Section 16 by emailing support@coastlabs.ai with the subject line "Arbitration Opt-Out" within thirty (30) days of your first order. Your opt-out must include your full legal name, the email address on file, and the date of your first order. If you do not opt out within that period, you are bound by this Section.
17. Changes to These Terms
We may revise these Terms from time to time. The revised version will be posted at this URL with an updated "Last updated" date. Material changes will be communicated to account holders by email at least fifteen (15) days before they take effect. Your continued use of the site after a revision becomes effective constitutes acceptance of the revised Terms.
18. Termination
We may suspend or terminate your access to the site or your account at any time, with or without cause, with or without notice. The provisions of Sections 2, 3, 7, 9, 10, 12, 13, 14, 15, 16, and this Section 18 survive any termination of these Terms.
19. Force Majeure
We are not liable for any failure or delay in performance to the extent caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, government action, regulatory change, carrier delay, processor termination, supplier failure, internet or hosting outage, or labor disruption.
20. Miscellaneous
a. Entire agreement. These Terms, together with the documents incorporated by reference, constitute the entire agreement between you and us regarding the subject matter, and supersede all prior or contemporaneous communications. b. Severability. If any provision is held unenforceable, the remaining provisions remain in full force. c. No waiver. Our failure to enforce any right is not a waiver of that right. d. Assignment. You may not assign these Terms without our written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets. e. Headings. Section headings are for convenience only and do not affect interpretation. f. Notices to us should be sent to Coast Labs LLC, Sheridan, Wyoming, United States, or by email to support@coastlabs.ai.
